1. Acceptance of Terms

Welcome to Propsly! These Terms of Use ("Terms") constitute a legally binding agreement between you and Auralite Solutions LLC ("Company," "we," "us," or "our") governing your access to and use of the Propsly service, including our website, Slack application, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Propsly is a Slack-integrated peer recognition platform that enables teams to give "props" (recognition points) to colleagues for great work. The Service includes:

  • Slack slash commands for giving and receiving recognition
  • Monthly props allocation for team members
  • Leaderboards and analytics dashboards
  • Optional reward automation features (Pro tier)
  • Administrative tools for workspace management

3. Service Tiers

3.1 Free Tier

The Free tier includes core recognition features, unlimited users, monthly props tracking, and public leaderboards at no cost.

3.2 Pro Tier

The Pro tier, priced at $50 per month, includes advanced analytics, reward automation, customization options, and priority support.

3.3 Enterprise

Enterprise plans with custom integrations and service level agreements are available upon request.

4. Account Registration and Security

4.1 Slack Authentication

Access to Propsly is provided through Slack OAuth authentication. By installing Propsly to your Slack workspace, you authorize us to access certain information from your Slack workspace as described in our Privacy Policy.

4.2 Account Responsibilities

You are responsible for:

  • Maintaining the security of your Slack workspace credentials
  • All activities that occur within your workspace's use of the Service
  • Ensuring that all users in your workspace comply with these Terms
  • Promptly notifying us of any unauthorized use of your account

5. Payment Terms

5.1 Payment Processing

All payment processing for Pro tier subscriptions is handled by Stripe, Inc. ("Stripe"). By subscribing to Pro tier services, you agree to Stripe's Terms of Service and Privacy Policy.

Important: We do not store your credit card information on our servers. All payment card data is securely processed and stored by Stripe in accordance with PCI-DSS standards.

5.2 Billing Cycle

Pro tier subscriptions are billed monthly in advance. Your subscription will automatically renew at the end of each billing period unless cancelled.

5.3 Cancellation

You may cancel your Pro subscription at any time through the Settings page. Upon cancellation, you will retain access to Pro features until the end of your current billing period, after which your workspace will revert to the Free tier.

5.4 Refunds

We offer refunds on a case-by-case basis. If you are unsatisfied with the Service, please contact us at support@propsly.io within 30 days of your purchase to discuss a potential refund.

6. Reward Processing Fees

6.1 Gift Card Rewards

Pro tier customers may configure automated gift card rewards for top performers. Gift card delivery is facilitated through third-party providers (such as Tremendous).

6.2 Processing Fees

Fee Disclosure: A processing fee of 2.9% + $0.30 applies to each gift card reward issued through the Service. This fee covers payment processing costs and is charged to the workspace's payment method on file.

6.3 Fee Consent

By configuring and enabling reward automation, you acknowledge and consent to the processing fees described above. Fee amounts will be clearly displayed before reward issuance is confirmed.

7. Data Collection and Privacy

7.1 Data We Collect from Slack

When you install Propsly, we collect and process the following data from your Slack workspace:

  • User profile information (display names, email addresses, Slack user IDs)
  • Workspace information (workspace name, workspace ID)
  • Channel information for props posting
  • Props messages and recognition content submitted through our commands
  • Team and group membership data

7.2 How We Use Your Data

We use the collected data solely for the purpose of providing and improving the Service, including:

  • Processing and displaying props and recognition
  • Generating leaderboards and analytics
  • Sending notifications about props received
  • Administering your workspace account
  • Improving and developing new features

7.3 Data Protection Commitment

We do NOT sell your data. Auralite Solutions LLC does not sell, rent, or trade your personal information or Slack workspace data to any third parties for marketing or advertising purposes. Your data is used exclusively to provide the Propsly service.

7.4 Data Sharing

We share data only with:

  • Service providers necessary to operate the Service (e.g., Stripe for payments, Tremendous for gift cards)
  • Legal authorities when required by law or to protect our rights

7.5 Data Retention and Deletion

We retain your data for as long as your workspace uses the Service. Upon uninstalling Propsly from your Slack workspace, you may request deletion of your data by contacting support@propsly.io. We will delete your data within 30 days of a valid deletion request, except where retention is required by law.

8. Acceptable Use Policy

8.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for legitimate peer recognition within professional teams.

8.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any fraudulent, abusive, or illegal purpose
  • Attempt to circumvent props allocation limits or gaming systems
  • Create fake accounts or manipulate recognition data
  • Harass, abuse, or harm other users through the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems or bots to interact with the Service without authorization
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to send spam or unsolicited messages

8.3 Props System Integrity

The props system is designed to foster genuine appreciation. Coordinated schemes to artificially inflate props, quid pro quo arrangements, or other manipulation of the recognition system are prohibited and may result in account termination.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including all content, features, functionality, software, and design elements, is owned by Auralite Solutions LLC and is protected by United States and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9.2 User Content

You retain ownership of any content you submit through the Service (such as props messages). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content solely for the purpose of operating and improving the Service.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.

10. Disclaimers

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue the Service at any time without notice.

10.3 Third-Party Services

The Service integrates with third-party services (Slack, Stripe, Tremendous). We are not responsible for the availability, accuracy, or content of these third-party services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURALITE SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code that may be transmitted through the Service
  • Any errors or omissions in any content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Auralite Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of any third party.

13. Termination

13.1 Termination by You

You may stop using the Service at any time by uninstalling Propsly from your Slack workspace.

13.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending a notification through the Service or via email to workspace administrators

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Auralite Solutions LLC regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
